Seller Agreement
What a seller agrees to on the Lead Market: the data attestation, the checks on every file, fees, payouts, and when a listing or a payout can be withheld.

1Who this agreement is for
This agreement applies to anyone who lists a file, sends a custom offer or answers a request on the Lead Market. It adds to the Marketplace Terms, which describe how orders, escrow, inspection and problem reports work for both sides.
2ID check and payout wallet
- A seller passes an ID check, a selfie plus a photo ID, before any payout.
- A seller who sells as a business also gives the company's details.
- The seller gives the wallet address that payouts are sent to.
3The data attestation
For every file, before it is submitted for checks, the seller confirms three things:
- 1The data came from public or permitted sources.
- 2The file contains no consumer, breached or sensitive data.
- 3The seller has the right to sell it.
The seller, not LeadsByCity, is responsible for collecting the data lawfully. If the attestation turns out to be false, LeadsByCity can remove the listing, remove the seller and withhold payouts for the affected files. What may never be sold is listed in the Prohibited Data Policy.
4Listings
- A listing states the niche, the location, the row count, the columns in the file, the date the data was collected, how it was collected, the share of rows with a verified email, and the price.
- The collection method is one of: Business websites, Public directories, Open data sets, Manual research, Other permitted source.
- The price is either fixed or “contact for price”. The lowest price is $20.
- The seller uploads the full file when creating the listing. It is encrypted and stored, and it is never shown before purchase.
- Every file a seller uploads is kept, encrypted, after the listing is paused, replaced or removed. The team can open a kept file to check it against the Prohibited Data Policy and to settle a problem report. A kept file is not sold or shown to buyers once its listing is removed.
- Buyers see 5 sample rows with the contact fields hidden.
- The listing has to describe the file truthfully. A problem report is judged against what the listing and its quality report say.
5Automatic checks and the quality report
Every uploaded file goes through 7 automatic checks. Their results become the quality report shown on the listing. Buyers judge the file by it before paying, and the same numbers settle problem reports later.
- Prohibited data scan
- Looks for passwords, hashes, dates of birth, government ID numbers, card numbers, bank details and health data. A file that contains any is rejected automatically. Repeat attempts mean a ban.
- Consumer data check
- Measures the share of free-mail addresses and residential markers. Above 30%, the file is held for manual review.
- Row count and columns
- The row count has to match the listing within 1% and the listed columns have to be present. Until they are, the listing is blocked.
- Duplicates
- Counts exact and near-duplicate rows. The result is shown on the listing.
- Email quality
- Checks syntax and mail server records, and verifies a sample of 200 rows. The result is shown on the listing as the verified email rate.
- Location and niche match
- Checks addresses and phone numbers against the stated area. The result is shown on the listing as the location match.
- Recycled data
- Compares a fingerprint of the file with files already on the platform, to flag resold copies of someone else's file.
6Releasing the file
- Because the file is uploaded and checked in advance, it can be released to the buyer automatically as soon as the payment is confirmed.
- A seller who prefers to release by hand has 24 hours from the moment the order is funded. If the file is not released in that time, the order is cancelled and the buyer is refunded.
- For a custom offer, the seller uploads the file after the buyer has paid. The same checks run before it is released.
7Fees and payouts
- The platform fee is 10% of the price. It is taken from the payout.
- Founding sellers pay 5% for their first 6 months. After that the standard fee applies.
- The buyer has 48 hours to inspect the file. The payout is sent 3 days after the order is accepted.
- Payouts are in USDT or USDC, to the seller's wallet.
- When an order ends in a partial refund, the platform fee is charged only on the part of the price the seller keeps.

Every seller starts at New: at most 3 open orders at a time, at most $500 per listing, and every file spot-checked by hand.

9What a seller must not do
- List a file that contains prohibited data.
- Resell a copy of someone else's file. Files are fingerprinted and compared, the original seller can claim the file, and repeat offenders are banned.
- Describe a file as something it is not, or state a row count or a verified email share the file does not have.
- Move a deal off the platform, or pass contact details in chat before an order exists.
10Removal and withheld payouts
LeadsByCity can remove a listing, remove a seller, and withhold the payout for a file when:
- the data attestation for the file was false;
- the file breaks the Prohibited Data Policy;
- a problem report on the order is decided in the buyer's favour, in which case all or part of the payment is refunded to the buyer.
